2. Agreement Between RemodelAuction.com and Users: The following terms and conditions (the "Terms and Conditions") apply to all visitors and users (the "users" or "Parties") of this Web site. By accessing this Web site, users acknowledge and accept the Terms and Conditions set forth below. In the event of any violation of these Terms and Conditions, RemodelAuction and its affiliates (collectively, "RemodelAuction.com"), reserve the right to seek all remedies available by law for the violations.

All Materials herein and all RemodelAuction software are proprietary to RemodelAuction and protected by worldwide copyright and other intellectual property laws. Except as stated herein, none of the Work Product may be modified, copied, reproduced, distributed, republished, downloaded, displayed, sold, compiled, posted or transmitted in any form or by any means, including but not limited to, electronic, mechanical, photocopying, recording or other means, without the prior express written permission of RemodelAuction.

Trademarks and Business Process: The idea and business process of allowing homeowners to list their home remodeling project online online for competitive bid is protected by law and may not be reproduced or duplicated in any manner without the express written consent of RemodelAuction.com. The trademarks, trade names and service marks (the "Marks") displayed on this Web site are the property of RemodelAuction or other related parties. Users are not permitted to copy or otherwise use these Marks without the prior written consent of RemodelAuction or such related party, which may own the Marks. 12. Changes to Terms of Use.RemodelAuction reserves the right to change the terms, conditions, and notices under which this Web site is offered at any time. Modification of this contract will be deemed effective upon publication on the Web site with respect to any Homeowners or Contractors actions, communications or transactions occurring after said date. It is your responsibility to check terms and conditions of this Agreement at the time of each use.
13. Severability.If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect. RemodelAuction is not licensed as a General Contractor in any state and will not engage in any action it believes would require it to do so. RemodelAuction serves as a referral service between the Homeowners and installers. It will be up to the sole discretion of the installer to maintain compliance with State and Local builders Codes and Laws. It will be up to the sole discretion of the homeowner to verify independent of RemodelAuction that a contractor is licensed and qualified to engage in the desired work. While RemodelAuction is a legal entity in certain states, RemodelAuction does not render legal, brokerage, or other professional advice or services to either its Homeowners or installers. Users of this site, Homeowners, and Installers that may engage in business by being referred together through this site explicitly agree to hold RemodelAuction.com and its affiliates harmless in the event of any dispute, damage, unfinished work, or any other problem that may arise in the normal course of a remodeling project, including any aspect of the financing set up for the project if applicable. By agreeing to these Terms and Conditions of using this referral service are agreeing in advance of any dispute or problem to hold RemodelAuciton.com completely harmless and not expect or not to seek any remedies, solutions, money, goods, arbitration expenses, or legal fees associated with any dispute that may arise between the Parties. Users agree and understand RemodelAuction.com is not directly affiliated with its users and does not validate, endorse, manage, or enforce any aspect of the promises or agreements between the parties. Users engage in business by referral through this site at your own risk.
14. Legal.This agreement is governed by the laws of the State of Delaware, without regard to its conflicts of laws principles. You hereby consent to the exclusive jurisdiction and venue of courts in Mecklenburg County, North Carolina, in all disputes arising out of or relating to the use of this Web site. Use of this Web site is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph. You acknowledge that the software and any accompanying documentation and/or technical information are subject to applicable laws and regulations of the U.S.A. You agree to abide by these laws and regulations including export restrictions.
